HOW TO ENTER (two methods):

(1) ONLINE ENTRY: To enter the Alltel "Words of Wisdom" Essay Contest ("Contest") via online entry, complete the Official Entry Form found at www.alltel.com/wordsofwisdom. After completing the entire entry form, including the essay portion of the form, click the Submit button to finish the process. The online Contest begins at 12:01 a.m. Central Time ("CT") on January 28, 2008 and ends at 11:59 p.m. CT on March 1, 2008 ("Promotional Time Period"). All online entries must be completed before 11:59 p.m. CT on March 1, 2008. Entries received online after March 1, 2008 will not be eligible.

(2) MAIL-IN ENTRY: To enter the Contest via mail-in entry method, complete the Official Entry Form found online at www.alltel.com/wordsofwisdom or at participating Alltel retail stores and mail with the completed essay to Alltel "Words of Wisdom" Essay Contest, PO Box 511485, New Berlin, WI 53151. All mail-in entries must be postmarked by March 1, 2008 and received by March 7, 2008. Mail-in entries postmarked after March 1, 2008 or received after March 7, 2008 will not be eligible.

Alltel Communications, Inc. ("Alltel"), GMR Marketing LLC ("GMR"), and each of their respective parent companies, subsidiaries, affiliates, vendors, agencies and retailers are not responsible for lost, late, or misdirected entries. Limit one (1) entry per person. All entries and content become the sole property of Alltel. Some or all entries will be posted online, using first name and state. By entering, Contestant explicitly acknowledges and agrees that Alltel reserves the right to publish in any media, including online, any or all content of submissions with or without first and last name credit to the entrant; and entries that attempt to restrict this right will not be considered.

ELIGIBILITY
Participating entrants must be 17 years of age or older, and a legal resident and citizen of the 50 United States (includes the District of Columbia). Employees of Alltel, GMR, and their affiliates, sales representatives, retailers, distributors, and promotion, and other vendor agencies involved in this Sweepstakes and the households and immediate family members (defined for the purposes of this Sweepstakes as a parent, spouse, child, and sibling) of such employees and their children are not eligible. In addition, participating entrants must be either a high school senior who has been accepted to or a current, full-time student in good standing at one of the participating colleges or universities. For a complete list of participating institutions, refer to the Participating Colleges and Universities section of these rules. Proof of enrollment or acceptance at one of the participating schools will be required to accept the Grand Prize. If the Grand Prize winner fails to provide such proof of enrollment, the prize will be forfeited in its entirety and an alternate winner may be selected. Contest is subject to all federal, state and local laws and regulations. Void where taxed, prohibited, or restricted by law.

JUDGING CRITERIA/WINNER SELECTION
This is not a game of chance. Odds of winning depend on the number and quality of entries received. Grand Prize winners will be chosen based on the quality of a written entry of 600-800 words answering the following question: In remembering the past, what will you do to contribute to a brighter future? On or about March 7, 2008 through March 12, 2008, entries will be judged on a 105 point scale as follows: a maximum of 25 points for essay content in keeping with the Words of Wisdom theme; a maximum of 25 points for essay content in conveying the author's thesis; a maximum of 35 points for essay content in striking an emotional cord and exuding passion through writing; and a maximum of 20 points for organization, clarity, grammar, and composition of the essay. Entries with the highest point totals will be selected as winners, subject to verification of eligibility and final approval of Sponsor. An entry will be disqualified by Sponsor, regardless of point total, (i) if it is not consistent with Alltel's reputation in the marketplace, including its reputation for quality and integrity, (ii) if it does not reflect the goals of the promotion, (iii) if the language of the entry is not suitable for all ages, (iv) or if the entry is so deficient in grammar, spelling, sentence structure or content as to be unclear or inappropriate. In the event of ties in point totals among potential winners, judges will revisit the tied entries and choose as winner(s) the entry (or entries, as needed) that best reflects all criteria as a whole. Accounts of illegal events will not be eligible. Essays must be the entrant's original creation. Previously published essays that have won any other award will be disqualified. Entry cannot defame or invade the rights or privacy of any person, living or deceased, or otherwise infringe upon any third party's personal or proprietary rights.

All entries become the property of Alltel and Alltel shall hold all copyright, ownership, title, and right thereto. An entrant's submission of an entry constitutes permission for Alltel to use the entrant's name, answers, and other material provided in the entry for any purpose, including for promotional purposes in any media without compensation. As a condition of acceptance of the prize, which shall constitute full and sufficient consideration, potential final winners must grant an unrestricted copyright license of the winning entry, audio, sound bites, photographs, and video to Alltel, or alternate winner will be chosen.

PRIZES AND APPROXIMATE RETAIL VALUES: Ten (10) Grand Prizes: A $5,000 scholarship and a two-night trip to Little Rock, Arkansas, to meet celebrated poet and author Maya Angelou! The scholarship will be awarded in the winner's name directly to the winner's university or college to be used toward the winner's tuition costs for the 2008 fall semester. The trip to meet Maya Angelou includes coach airfare for winner and up to two (2) travel companions (travel from a major airport near winner's residence as selected solely by Sponsor); two (2) nights hotel accommodations in two (2) double occupancy rooms (rooms do not include food, beverages, room service or other incidentals); ground transportation for winner and up to two (2) travel companions to and from the airport and hotel; three (3) tickets to a reception and to a luncheon with Maya Angelou and the other Grand Prize winners (seats and other arrangements to be selected solely by Sponsor); three (3) tickets to a concert to see a R&B performer (performer to be selected solely by Sponsor; seating and all other arrangements to be selected solely by Sponsor); $100 spending money for the winner only; and a $2,122.42 cash payment to the winner only intended to help defer taxes related to the travel portion of the award. The cash payment has been based on a 34% tax rate, and is intended to cover any federal or state obligation. Any additional tax obligation that the winner may be liable for is the sole responsibility of the winner. The Approximate Retail Value ("ARV") of each Grand Prize is $11,242.42. The ARV of all Grand Prizes awarded in the Contest is $112,424.20. The trip will be taken March 30, 2008 through April 1, 2008. All ten (10) Grand Prize winners and travel companions will attend on the same date as designated by the Sponsor. Grand Prize winner must be able to travel on the date specified, or travel portion of prize will be forfeited. Trip attendance is not mandatory to receive the scholarship portion of the prize, however, no cash value of the trip (includes the $100 spending money) will be awarded if the trip is not taken and the $2,122.42 cash payment will not be awarded if the trip is not taken.

Sponsor is not responsible for postponement or cancellation of the luncheon with Maya Angelou. If, for any reason, the scheduled luncheon and any aforementioned activities do not occur, the trip will be awarded without the luncheon tickets and activities on the same itinerary. Alltel will comply with all tax reporting obligations. Each winner must provide Alltel with certain tax information that is required by IRS regulations. Each winner will receive a form 1099-Misc from GMR that will state the value of the prize. No prize will be awarded to a potential winner who fails to meet all criteria, and alternate winner will be chosen. No substitution or transfer of prize is allowed except that the Sponsor reserves the right to substitute prizes of the same approximate retail value. Prize consists only of items specifically listed as part of the prize. No cash substitutions will be allowed.

GRAND PRIZE WINNERS: Ten (10) Grand Prize winners will be selected on or about March 12, 2008. Winners will be selected by a judging panel consisting of representatives from Alltel, the business community, and select academic institutions. Online and mail-in entries will serve as an initial selection tool and for verification of entrant information and eligibility. Alltel and GMR reserve the right, in their sole discretion, to choose alternate winners if information contained in the application cannot be verified to the satisfaction of Alltel. The potential winners will be notified on or about March 14, 2008, by a phone call and/or express mail to the address listed on the application/entry form.

Potential Grand Prize winners must execute an affidavit of eligibility, a mutually acceptable liability and publicity release, a personal services agreement, and copyright assignment within five (5) calendar days of notification or the prize will be forfeited in its entirety and an alternate may be selected. Federal, state, and local taxes are the sole responsibility of winners.

If the Grand Prize winner is a minor in his/her jurisdiction of residence (an "eligible minor"), the prize may be awarded in the name of, or to, the winner's parent/legal guardian, who must execute all documents and agree to all obligations and undertakings of winner, both on behalf of himself/herself and winner, or prize may be forfeited and awarded to an alternate winner. In such a case, the Grand Prize winner would become the travel companion to his/her parent/legal guardian.

Each Grand Prize winner may bring up to two (2) travel companions with them on the Grand Prize trip. The travel companions of each of the Grand Prize winners must complete and sign an affidavit of eligibility and a mutually acceptable liability and publicity release. Each of the Grand Prize winner's travel companions must travel on the same itinerary as the Grand Prize winner including departure from the same airport as the Grand Prize winner.

ONLINE ENTRY: This Contest is intended for viewing in the United States only and is governed by applicable U.S. law. If you are not a legal resident of the 50 United States (including the District of Columbia), you are not eligible and may not participate in this promotion. If for any reason the online portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of Alltel, which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, Alltel reserves the right at its sole discretion to disqualify any individual who tampers with the entry process and to cancel, terminate, modify, or suspend the Contest at any time. Each entry must be manually key-stroked and manually entered by the participant. Repetitive automated electronic submission of entries is prohibited, and any such entries will be disqualified. Alltel assumes no responsibility for any error, omission, interruption, deletion, defect in operation or transmission, communications line failure, theft or destruction, or unauthorized appearance of qualification of prize. Alltel is not responsible for any problem or technical malfunction of any telephone network or lines, computer online system, server or provider, computer equipment, software, failure of any e-mail or entry to be received by Alltel due to technical problems or traffic, congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH ATTEMPT BE MADE, Alltel RESERVES THE RIGHT TO SEEK DAMAGE FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

GENERAL RULES: Entrants agree to accept and abide by the rules of this Contest and agree that any dispute with regard to the conduct of the Contest, rule interpretation or award of prizes, shall be submitted to GMR, whose decisions shall be binding and final. By participating, entrant agrees to release and hold harmless Alltel, GMR, all participating colleges and universities, and their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, investors, agents and representatives of any of the above organizations from any injury, loss or damage to person, including death or property, due in-whole or in-part, directly or indirectly, due to the acceptance from or use/misuse of a prize or participation in any promotion-related activity. Alltel is not responsible for any typographical or other error in the printing of this offer, administration of the Contest or in the announcement of prizes. In the event Alltel is prevented from continuing with this promotion, or the integrity and/or feasibility of the promotion is severely undermined by any event beyond Alltel's control, including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within Alltel's control (each a "Force Majeure" event or occurrence), Alltel shall have the right, in its sole discretion, to abbreviate, modify, suspend, cancel or terminate the promotion without further obligation. If Alltel, in its discretion, elects to abbreviate or cancel the promotion as a result of a Force Majeure event, Alltel reserves the right, but not the obligation, to award the prize from among all eligible entries received up to the date of such Force Majeure event. All entries belong to Alltel and are not returnable.
